1. Agreement to Terms

By accessing this website or engaging the services of Keystone Licensing Group ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. 2. Nature of Services

Keystone Licensing Group is a business licensing consulting firm. We assist clients with the preparation and submission of business license and permit applications across the United States, with primary expertise in California hospitality licensing.

3. No Guarantee of Approval

Licensing decisions are made exclusively by the relevant federal, state, county, and municipal government agencies. We have no control over agency decisions and make no representation, warranty, or guarantee that any license application will be approved in any jurisdiction.

Timelines stated on our website are estimates based on typical processing times and are subject to change based on agency workload, jurisdiction, completeness of your application, and other factors outside our control. Processing times vary significantly by state, county, and city.

4. Client Responsibilities

By engaging our services, you agree to:

• Provide accurate, complete, and truthful information required for your application
• Submit requested documents in a timely manner
• Notify us promptly of any changes to your business information, ownership, or location
• Understand that incomplete or inaccurate information may delay or result in denial of your application
• Pay all applicable government agency fees separately from our consulting fees, as these vary by jurisdiction and are set by the relevant agencies
• Ensure you meet all eligibility requirements for the license type you are seeking under the laws of the applicable jurisdiction

We are not responsible for delays or denials caused by inaccurate, incomplete, or late information provided by the client, or by the client's failure to meet eligibility requirements in any jurisdiction.

5. Fees and Refunds

Our consulting fees are flat, per-service fees paid in full at the time of engagement. Consulting fees are separate from any government agency fees, which are paid directly by the client to the relevant agency and vary by jurisdiction and license type.

Fees are non-refundable once work has commenced, except in the following circumstances:

• If an application is denied due to an error solely attributable to Keystone Licensing Group, your consulting fee will be refunded in full.
• If you cancel your engagement before any work has begun, your fee will be refunded within 10 business days.

Refunds are not provided for agency denials resulting from the client's eligibility, background, incomplete disclosures, or government agency discretion in any jurisdiction.

6. Jurisdictional Scope

Our services are available to clients operating businesses throughout the United States. Licensing requirements, timelines, agency processes, and associated fees vary significantly by state, county, and municipality. We will advise you on jurisdiction-specific requirements as part of our engagement. It is the client's responsibility to disclose the full scope of their intended operating locations so we may accurately assess applicable licensing requirements.

7. Confidentiality

We treat all client information as confidential. We will not disclose your personal or business information to any third party except as necessary to process your license applications with the relevant agencies, or as required by applicable federal or state law. It is not legal or regulatory advice, and results do not constitute a determination of what licenses you are legally required to obtain in any jurisdiction. 9. Limitation of Liability

To the fullest extent permitted by applicable law, Keystone Licensing Group shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to our services or your use of this website, including but not limited to lost profits, loss of business opportunity, or costs incurred as a result of an agency denial in any jurisdiction.

Our total liability to you for any claim arising out of our services shall not exceed the total fees paid by you to Keystone Licensing Group for the specific engagement giving rise to the claim.

10. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions, as the state in which Keystone Licensing Group is based. Clients located in other states acknowledge that California law governs this agreement regardless of the state in which their business operates or where services are delivered.

Any disputes arising under these terms that cannot be resolved informally shall first be submitted to non-binding mediation before either party pursues litigation. If mediation is unsuccessful, disputes shall be resolved in the state or federal courts located in California. Clients outside California consent to personal jurisdiction in California for purposes of any such dispute.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Material changes will be reflected in an updated "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
